Terms of Service

The following terms and conditions govern the provision of digital marketing services by Metodas LLC, hereinafter referred to as “Metodas,” to its clients. Please read these terms carefully as they form a binding contract between you and Metodas.



Identification of Parties

Metodas LLC, a company domiciled in the United States, operates under the name Metodas.


Scope of Services

Metodas is a collective of elite freelance marketing professionals. We are not a traditional agency, but a network of top-tier freelancers specializing in various aspects of digital marketing. Our mission is to provide flexible, high-quality marketing solutions tailored to the unique needs of our clients.


Types of projects we cover

Content Marketing

Blogs, (Social content items), E-commerce content, Video Production, AI content, Creative Strategies…


Strategy & Analytics

GA4 set-up, Acquisition Funnel optimization, User Segmentation, Digital strategies…


Channel Expertise

Social Media Management, E-mailing, SEO, Influence Marketing…


Advertising

Campaign Strategy, Campaign Management, Landing Pages, Sales Analysis…


Pricing and Payment

Pricing is structured on a case-by-case basis, with Metodas taking a small percentage (5%) over the freelancer’s daily rate, and a percentage out of the entire project. Payments are accepted via wire. A 40% initial down payment is required, with specific payment rules tailored for each project concerning length and commitment.


Contract Duration and Termination

Contracts typically range from 1 month to a year or more, with termination possible with a one-week notice. Specific conditions may apply concerning the nature of each commitment.


Intellectual Property

All intellectual property in the deliverables arising from the project will belong to the client. However, Metodas retains the right to use the project as a reference in its portfolio.


Deliverables & Timelines

The specifics concerning deliverables and timelines will be outlined in individual agreements with clients.

Any out-of-scope work not covered by the original contract will require pre-approval in writing.


Third-Party Services

Metodas is not liable for issues arising from third-party platform APIs or technology.


Confidentiality

Standard confidentiality clauses will apply to protect the information exchanged between the parties.


Dispute Resolution

In the event of any disputes arising out of or in connection with these Terms and Conditions or the services provided, the parties shall first attempt to resolve the matter amicably through discussions. If the dispute remains unresolved after thirty (30) days of discussions, the parties agree to proceed to mediation under the guidance of a mutually agreed upon mediator.

 

If the mediation fails to resolve the dispute, the parties agree to submit the dispute to binding arbitration under the rules of the International Chamber of Commerce. The seat of arbitration shall be in Texas, United States, and the language of the arbitration shall be English.

 

Each party shall bear its own costs in the arbitration, and the costs of the arbitrator and the arbitration shall be shared equally between the parties unless the arbitration award provides otherwise.


Data Protection

Metodas adheres to its Privacy Policy, available at https://metodas.co/privacy-policy/, which complies with the General Data Protection Regulation (GDPR) for clients within the European Union. Where required by GDPR or other applicable laws, Metodas will enter into data processing agreements with clients to ensure the lawful processing and protection of personal data.


Non-Compete Clause

Freelancers introduced to or coming into contact with Metodas clients, whether engaged in a project or not, agree not to directly solicit or engage with said clients for a period of twenty-four (24) months following the termination of their contract with Metodas or from the date of introduction, whichever occurs later, without the written consent of Metodas. Should this clause be violated, Metodas reserves the right to take appropriate legal action to protect its interests.
