Terms of Service (clients)

The following terms and conditions govern the provision of digital marketing services by Metodas LLC, hereinafter referred to as “Metodas,” to its clients. Please read these terms carefully as they form a binding contract between you and Metodas.

Identification of Parties:

Metodas LLC, a company domiciled in the United States, operates under the name Metodas.

Scope of Services:

Metodas specializes in providing elite digital marketing services through high-quality freelancer matching, centralized project management, and time-saving administrative handling:

  • High-Quality Profiles: Provision of thoroughly screened and vetted freelance talent for both B2B and B2C sectors.
  • Centralized Project Management: Coordination and management of projects through a centralized system, ensuring streamlined communication and oversight.
  • Time Gain: Administrative handling including invoicing, centralized payments, and compliance checks to save time for clients.

Types of projects we cover:

Strategic Support: Assistance with strategic decisions such as brand positioning and digital roadmap creation.

Brand Experience Enhancement: Services aimed at improving brand presence and awareness.

Business Objective Support: Tailored approaches to digital sales, lead generation, and online sales acceleration.

Pricing and Payment:

Pricing is structured on a case-by-case basis, with Metodas taking a small percentage (5%) over the freelancer’s daily rate, and a percentage out of the entire project. Payments are accepted via wire or credit card. A 40% initial down payment is required, with specific payment rules tailored for each project concerning length and commitment.

Contract Duration and Termination:

Contracts typically range from 1 month to a year or more, with termination possible with a one-month notice. Specific conditions may apply concerning the nature of each commitment.

Intellectual Property:

All intellectual property in the deliverables arising from the project will belong to the client. However, Metodas retains the right to use the project as a reference in its portfolio.

Deliverables & Timelines:

The specifics concerning deliverables and timelines will be outlined in individual agreements with clients.

Any out-of-scope work not covered by the original contract will require pre-approval in writing.

Third-Party Services:

Metodas is not liable for issues arising from third-party platform APIs or technology.

Compliance:

Metodas complies with all applicable laws and regulations, including anti-bribery and anti-corruption laws, especially when working internationally.

Confidentiality:

Standard confidentiality clauses will apply to protect the information exchanged between the parties.

Liability and Indemnification:

Liability and indemnification clauses will be defined on a case-by-case basis in individual client agreements.

Dispute Resolution:

In the event of any disputes arising out of or in connection with these Terms and Conditions or the services provided, the parties shall first attempt to resolve the matter amicably through discussions. If the dispute remains unresolved after thirty (30) days of discussions, the parties agree to proceed to mediation under the guidance of a mutually agreed upon mediator.

 

If the mediation fails to resolve the dispute, the parties agree to submit the dispute to binding arbitration under the rules of the International Chamber of Commerce. The seat of arbitration shall be in Texas, United States, and the language of the arbitration shall be English.

 

Each party shall bear its own costs in the arbitration, and the costs of the arbitrator and the arbitration shall be shared equally between the parties unless the arbitration award provides otherwise.

Data Protection:

Metodas adheres to its Privacy Policy, available at https://metodas.co/privacy-policy/, which complies with the General Data Protection Regulation (GDPR) for clients within the European Union. Where required by GDPR or other applicable laws, Metodas will enter into data processing agreements with clients to ensure the lawful processing and protection of personal data.

Amendments:

Amendments to these terms and conditions will be handled as per agreements with clients. Clients will be notified of amendments via email.

Miscellaneous:

Industry-specific regulations or standards will be adhered to as per marketing industry standards and laws.

Non-Compete Clause:

Freelancers introduced to or coming into contact with Metodas clients, whether engaged in a project or not, agree not to directly solicit or engage with said clients for a period of twenty-four (24) months following the termination of their contract with Metodas or from the date of introduction, whichever occurs later, without the written consent of Metodas. Should this clause be violated, Metodas reserves the right to take appropriate legal action to protect its interests.
